“Company” refers to HyperLink Technologies.
“Client” refers to any individual or business entity that engages the services of HyperLink Technologies.
“Services” refers to website development, PCB designing, embedded system development, IoT/AI device engineering, consulting, and any related services offered by HyperLink Technologies.
2. Services Provided
HyperLink Technologies provides a range of technology and engineering services, including but not limited to:
Website Development

Website maintenance, security, and updates

SEO and performance optimization
PCB Designing

Schematic design and multi-layer PCB layout

Component selection and BOM preparation

Embedded System Solutions (IoT & AI Devices)

The scope of each project will be detailed in a specific proposal or service agreement shared with the Client.
3. Client Responsibilities
The Client agrees to:

Provide accurate, complete, and timely information required for project execution.

Ensure all supplied content, data, or materials comply with applicable laws and do not infringe any third-party rights.

Secure all required permissions, licenses, or assets before assigning them to the Company.

Review and approve deliverables within agreed timelines to avoid delays.

4. Payment Terms

All fees and payment schedules will be clearly stated in the service agreement or quotation.

Payment is due upon receipt of the invoice unless otherwise specified.

Work may be paused in case of delayed or incomplete payments.

Late payments may incur additional charges as per the signed agreement.

Hardware/embedded projects may include separate billing for prototypes, components, testing, or fabrication.

5. Intellectual Property Rights

All intellectual property created during development remains the property of HyperLink Technologies until full payment is received.

Upon full payment, the Client receives ownership of the final approved deliverables (website files, PCB project files, firmware binaries, etc.).

The Company retains the right to showcase completed work for portfolio and marketing purposes unless otherwise agreed in writing.

Source files for firmware, PCB design, or proprietary software may have separate licensing terms if specified.

6. Confidentiality
Both parties agree to keep confidential all proprietary and sensitive information shared throughout the project.
This obligation remains effective even after the project or agreement is terminated.
7. Warranties and Disclaimers

HyperLink Technologies warrants that services will be performed with professional skill, care, and industry standards.

Except as explicitly stated, no other warranties—express or implied—are provided, including suitability for a particular purpose or non-infringement.

Hardware and embedded prototypes may involve technical limitations or third-party component dependencies outside our control.
8. Limitation of Liability

HyperLink Technologies is not liable for indirect, incidental, or consequential damages resulting from the use or inability to use our services.

Total liability shall not exceed the total amount paid by the Client for the specific project or service.

The Company is not responsible for third-party service failures (hosting providers, fabrication vendors, component suppliers, API providers, etc.).
9. Termination

Either party may terminate the agreement by written notice if the other party breaches a material term and fails to rectify it within 7 working days.

Upon termination, the Client must pay for all completed work and expenses incurred up to the termination date.

No refunds are provided for completed work or non-recoverable resources.
10. Governing Law
These Terms and Conditions shall be governed by and interpreted according to the laws of India.
Any disputes shall fall under the exclusive jurisdiction of the courts in India.
11. Changes to Terms and Conditions
HyperLink Technologies reserves the right to update or modify these Terms and Conditions at any time.
Clients will be notified of major changes via website or email.
Continued usage of our services indicates acceptance of the updated terms.
